Acceptance of Terms

By accessing or using the JVSOL India Inc website at jvsol.co.in ("Site") or engaging any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not use our services.

Services Description

JVSOL India Inc provides industrial automation solutions including, but not limited to:

• Machine monitoring and remote diagnostics systems
• Process automation design and implementation
• SCADA system development and integration
• PLC programming and commissioning
• Industry 4.0 consulting and implementation
• Data analytics and operational intelligence solutions
• Technical training and ongoing support services

Specific deliverables, timelines, and service levels are defined in individual project agreements or statements of work executed between JVSOL India Inc and the client.

Eligibility

Our website and services are intended for businesses and individuals who are at least 18 years of age and are engaging for legitimate commercial or industrial purposes. By using our services, you confirm that you meet these eligibility requirements.

Permitted & Prohibited Use of Website

You may use our website to learn about our services, request consultations, and contact us for legitimate business purposes. You agree NOT to:

Project & Service Engagement Terms

All service engagements are governed by a separate Project Agreement or Statement of Work. These Terms apply as a baseline framework. Specific project terms may include:

• Defined scope of work, deliverables, and acceptance criteria
• Project timeline, milestones, and change management procedures
• Client responsibilities, including site access, data provision, and approvals
• Warranty terms for delivered systems (typically 90 days from commissioning)
• Ongoing maintenance and support agreement terms

Changes to agreed project scope must be documented through a formal Change Order process. JVSOL India Inc reserves the right to adjust timelines and pricing for scope changes.

Payment Terms

Payment obligations are defined in individual project agreements. Standard terms include:

• Projects require an advance payment (typically 30-50%) before commencement of work
• Milestone-based payments as defined in the project agreement
• Final payment due upon project delivery and acceptance
• Invoices are payable within 15 days of issuance unless otherwise agreed
• Late payments may attract interest at 1.5% per month
• All prices are exclusive of GST and applicable taxes unless stated otherwise

Confidentiality

Both parties acknowledge that they may receive confidential information in the course of business engagement. JVSOL India Inc agrees to:

• Maintain strict confidentiality of all client proprietary information, processes, and data
• Not disclose client information to third parties without written consent
• Use client information solely for the purpose of delivering contracted services
• Implement appropriate safeguards to protect confidential information

These obligations survive termination of the service engagement for a period of 3 years.

Limitation of Liability

To the maximum extent permitted by applicable law, JVSOL India Inc shall not be liable for:

• Indirect, incidental, consequential, or punitive damages arising from use of our services
• Loss of profits, revenue, or data resulting from service disruptions
• Damages arising from third-party equipment, software, or network failures
• Delays caused by circumstances beyond our reasonable control (force majeure)

Indemnification

You agree to indemnify and hold harmless JVSOL India Inc, its directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from:

• Your violation of these Terms of Service
• Your misuse of our website or services
• Inaccurate or incomplete information provided by you that affects service delivery
• Your violation of any applicable laws or third-party rights

Termination

Either party may terminate a service engagement with 30 days' written notice, unless otherwise specified in the project agreement. JVSOL India Inc reserves the right to immediately suspend or terminate access in cases of:

• Material breach of these Terms that remains uncured after 7 days' notice
• Non-payment of invoices beyond 30 days overdue
• Fraudulent, abusive, or illegal activity

Upon termination, all payment obligations for completed work remain in effect. Sections covering intellectual property, confidentiality, and limitation of liability survive termination.

Governing Law & Dispute Resolution

These Terms are governed by the laws of India, specifically the laws of the State of Karnataka. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating legal proceedings, parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
